Terms & Conditions

The terms that govern website design and development services provided by Noveii — scope, payments, timelines, revisions, intellectual property and more.

These Terms & Conditions (“Terms”) govern the website design and development services provided by Noveii (“Noveii,” “we,” “us”). By engaging Noveii or accepting a proposal, you (“Client,” “you”) agree to these Terms. Specific project details are confirmed in a separate written proposal or agreement, which works alongside this document.

1. Scope of Work

Each project’s scope — pages, features, integrations, content and deliverables — is defined in your written proposal. Work outside that agreed scope (“change requests”) may affect timeline and cost and will be quoted before proceeding. We’ll always confirm material changes in writing before starting them.

2. Client Responsibilities

  • Provide accurate information, brand assets and content in a timely manner.
  • Designate a point of contact authorized to give feedback and approvals.
  • Review deliverables and respond within the timeframes noted in your proposal.
  • Ensure you have the rights to any materials (text, images, logos) you provide to us.

Delays in providing content, feedback or approvals may extend project timelines.

3. Payments

Projects are typically invoiced in milestones — commonly a deposit to begin, with the balance tied to design and launch stages. The exact schedule is set out in your proposal. Work begins once the initial payment is received. Invoices are due by the date stated; late or missed payments may pause work until the account is current.

4. Timelines

Estimated timelines are provided in good faith and depend on the timely delivery of content, feedback and approvals. Noveii is not responsible for delays caused by incomplete materials, slow responses, third-party services, or circumstances beyond our reasonable control.

5. Revisions

Each package includes a defined number of revision rounds at the design and development stages, as noted in your proposal. Additional revisions beyond that allowance, or changes that fall outside the agreed scope, may be billed at our standard rate.

6. Content & Assets

Unless otherwise agreed, you are responsible for supplying website content (text, images and media). You confirm you own or have permission to use everything you provide. If we create or source content on your behalf, the terms for that work are set out in your proposal.

7. Third-Party Tools & Services

Your website may rely on third-party services — for example hosting, analytics, fonts, forms, databases or payment providers. These services are governed by their own terms, and their availability, pricing and policies are outside our control. We’ll recommend reputable providers but are not liable for their performance or changes.

8. Hosting & Domains

Hosting and domain registration may be arranged by you or set up on your behalf, as agreed. Where set up on your behalf, related costs are billed separately or passed through. You are responsible for keeping domains, hosting and any required subscriptions active after launch unless a separate maintenance arrangement is in place.

9. Maintenance & Support

Unless your proposal includes an ongoing maintenance plan, the project concludes at launch and acceptance. Post-launch support, updates, new features or fixes outside the original scope can be arranged under a separate agreement or billed hourly.

10. Intellectual Property

Upon receipt of full and final payment, ownership of the final, delivered website design and custom code transfers to you, except for: (a) third-party assets, plugins, fonts or libraries, which remain under their respective licenses; and (b) our underlying tools, frameworks, techniques and pre-existing materials. We may showcase the completed work in our portfolio and marketing unless you request otherwise in writing.

11. Project Delays & Inactivity

If a project becomes inactive on the Client’s side for an extended period (for example, no response for 30 days), we may pause it and reschedule remaining work based on availability. Restarting a long-paused project may require a renewed timeline and, in some cases, a re-engagement fee.

12. Limitation of Liability

To the fullest extent permitted by law, Noveii’s total liability arising from a project is limited to the amount you paid for that project. We are not liable for indirect, incidental or consequential damages, including lost profits, data loss, or downtime caused by third-party services. We do not guarantee specific search rankings, traffic, or business results, as those depend on many factors outside our control.

13. Service Changes

We may update our services, packages and these Terms from time to time. The version that applies to your project is the one in effect when your proposal is accepted. Continued engagement after an update constitutes acceptance of the revised Terms.
